End User Licence Agreement (EULA)

Licence grant

Subject to this EULA, MM Enterprises grants you a limited, non-exclusive licence to install and use VEXIX ERP for your internal business purposes according to the edition and limits of your active entitlement. Transfer and reinstallation are allowed through approved processes and remain subject to licence, device, security and abuse controls; unlimited simultaneous activations are not permitted.

Trial and activation

The 30-day Premium trial is limited to one trial per customer email and starts through the authenticated licensing flow after email verification. Registration and verification alone do not start a trial, and the trial does not convert automatically into a paid licence.

The application uses online activation and validation, including product, edition and device controls, and receives signed licence entitlements.

Edition entitlements

Available features are determined by Standard, Advanced or Premium and enforced by a signed entitlement. A purchased desktop licence is perpetual for that edition and is not a mandatory annual subscription. Premium Cloud is a separate annual edition marked Coming Soon and its cloud capabilities are not enabled.

A desktop licence includes one year of free updates and upgrades. After that year, the existing licensed version continues to work; future upgrades, new versions or support packages may require a paid upgrade or support charge.

Device, user and company limits

Each edition has defined limits on the number of devices, users, and companies it supports. These limits are enforced by the licensing server and, where applicable, by the application itself.

Updates

Lifetime email support is included. Customers purchasing annual upgrade or support coverage after the first year receive priority support. The target response time is 24–48 business hours, but no resolution-time guarantee is made. The public installer is not currently available.

Backup responsibility

VEXIX ERP includes backup and restore tools, but you are responsible for device security, user access, regular backups, restoration testing and retention of records required for your business.

Prohibited misuse

You may not attempt to circumvent licence enforcement, reverse-engineer the application beyond what is permitted by law, or use the software to violate applicable law.

Termination

This licence terminates automatically if you materially breach this EULA. Termination of your licence does not delete your locally-stored accounting data.

Third-party services

VEXIX ERP may reference third-party services such as e-Invoice or e-Way Bill systems only where integration is production-enabled. Preliminary integration setup is not a live-service guarantee. Third-party services remain subject to their own terms and availability.

Limitation of liability

To the maximum extent permitted by applicable law, MM Enterprises and VEXIX shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, business, revenue or data, arising from use of or inability to use VEXIX. Aggregate liability for claims relating to the applicable VEXIX product or service shall not exceed the amount actually paid by the customer for that product or service during the 12 months immediately preceding the event giving rise to the claim. For a lifetime licence purchased less than 12 months before that event, the cap is the actual amount paid for that licence. Nothing in these terms excludes or limits liability for fraud, wilful misconduct, or any liability or consumer right that applicable law does not permit to be excluded or limited.

Governing law and jurisdiction

These terms are governed by the laws of India. Subject to any consumer rights or remedies that cannot be limited by contract, the courts at Begusarai, Bihar shall have jurisdiction.

Data responsibility

You remain responsible for the accuracy of the accounting data you enter into VEXIX ERP and for complying with applicable tax and business-record-keeping obligations.
